1. Agreement and scope
These Terms and Conditions (the “Terms”) are a binding agreement between you and Rui Miguel Reis Carvalho, operating as Fuse Labs, a sole proprietorship in Ontario, Canada (“Fuse Labs,” “we,” “us” or “our”). They govern the Surion website, downloads, accounts, subscriptions, payments, Surion AI credits, Surion AI, support and other online services we make available (collectively, the “Services”).
The Surion End-User License Agreement (“EULA”) separately governs downloading, installing and using the Surion application. The Privacy Policy explains how personal information is handled. These Terms, the EULA and the Privacy Policy work together and are incorporated where applicable.
By visiting or using any Service, downloading Surion, creating an account, purchasing a subscription or credits, or continuing to access the Services, you confirm that you have read, understood and accepted these Terms. If you do not agree, do not use the Services and discontinue your account or subscription as applicable.
If you use a Service for an organization, you represent that you have authority to bind it. In that case, “you” includes both you and the organization.
2. Eligibility
You must be at least 18 years old and legally capable of entering into these Terms. You may not use the Services where receiving or using them would violate applicable law, sanctions or trade restrictions.
The Services are offered worldwide where reasonably available, but availability, payment methods, providers and features may vary by location. You are responsible for determining whether your use is lawful in your jurisdiction. Nothing in these Terms limits rights that applicable law does not permit you to waive.
3. Accounts and security
Free users may use Surion locally without an account, but must provide a valid email address or be signed in to download it. Paid plans and paid online features require an account. Each person should maintain one primary account unless Fuse Labs approves a legitimate business need for additional accounts.
You must provide accurate and current information, keep your credentials secure and promptly notify Fuse Labs through Support of suspected unauthorized access. You are responsible for activity under your account except to the extent caused by Fuse Labs. Accounts, seats, subscriptions and credits may not be sold, rented, shared or transferred except where these Terms expressly permit it.
Fuse Labs may reject or require changes to account or organization names that impersonate another person, infringe rights, mislead users or contain abusive material. We may require reasonable verification to prevent fraud, protect an account or administer a licence.
4. Plans and commercial use
The current Free, Plus and Pro plan features and standard prices are described on the Surion pricing page and in the purchase summary shown before payment. Studio is offered only through an organization-specific quote. The Free plan permits personal, non-commercial use. A paid plan is required for commercial work, as explained in the EULA.
Plus supports commercial work by an individual. Pro supports freelancers and small teams when each user has a paid seat. Studio supports businesses and teams and includes centralized organization and credit controls. Support priority means position in the support queue, not a guaranteed response or resolution time.
Website descriptions, screenshots and examples provide general product information. The plan name, billing period, seat count, price, credit allocation and other purchase details shown in the final purchase summary govern that transaction. Fuse Labs may correct obvious typographical, technical or pricing errors and, where an order cannot reasonably be fulfilled as presented, cancel it and issue a full refund.
5. Prices, currency and taxes
All Surion prices are based on and charged in United States dollars (USD), unless the checkout expressly states otherwise. Any local-currency amount displayed on the website is a non-binding estimate provided only for convenience. It may be rounded to a familiar local price point and may differ from the amount converted by your bank, card issuer, Stripe or another payment provider.
Exchange rates and issuer fees can change, so the amount appearing on a non-USD statement may vary between payments even when the USD subscription price has not changed. Your financial institution is responsible for its conversion rate and foreign-transaction charges. Fuse Labs does not add undisclosed mandatory processing or platform fees.
Prices exclude sales tax, VAT, GST/HST and similar government charges unless stated otherwise. Applicable taxes will be identified before payment where required. You are responsible for taxes associated with your purchase, except taxes imposed on Fuse Labs’ income.
6. Subscriptions and automatic renewal
Paid subscriptions renew automatically for the monthly or annual period selected at checkout until cancelled. Annual plans are charged upfront for the full year, although included Surion AI credits are released monthly. By subscribing, you authorize Stripe and Fuse Labs to charge the displayed USD price and applicable taxes to your selected payment method at the start of each term.
You may cancel renewal through your Surion Account, which uses Clerk for account access. Cancellation takes effect at the end of the current paid billing period, and you retain paid access until then unless access is suspended or terminated for cause. Cancellation does not retroactively reverse charges and does not produce a prorated refund except where these Terms or mandatory law provide otherwise.
Fuse Labs will provide reasonable annual-renewal notices, ordinarily approximately 30 days and again 7 days before renewal where technically practical. You remain responsible for managing renewal through your account even if an email is filtered, undeliverable or not opened.
7. Plan changes and failed payments
Upgrades may take effect immediately with prorated billing. Downgrades ordinarily take effect at the next renewal, and features or capacity above the new plan may then become unavailable. Current plan information will be shown before you confirm a change.
Fuse Labs will give at least 30 days’ advance notice of an increase to the underlying USD subscription price. A change in a displayed local-currency estimate caused only by exchange rates is not an increase to the USD price. Price changes apply no earlier than the next renewal following the notice period.
If payment fails, Fuse Labs or Stripe may retry the charge. Paid access may continue for a three-day grace period and may then be suspended until payment succeeds. Successful payment will ordinarily restore eligible access and credits automatically. An ordinary missed payment ends or suspends paid entitlements but does not, by itself, terminate the Free personal-use licence.
Fraudulent payment activity, abusive chargebacks, forged receipts or deliberate evasion of fees may result in immediate suspension while investigated. Good-faith billing disputes should be submitted through Support before initiating a chargeback when reasonably possible.
8. Surion AI credits
Surion AI credits provide metered access to Surion AI. They are not money, stored value or property and do not guarantee a fixed number of requests, tokens, outputs or computing seconds. Credit use depends on the selected model, project context, files, requested operation and processing requirements. Fuse Labs may adjust the credit cost of future operations as technology and infrastructure change.
The allocation displayed at purchase governs the applicable billing period. Monthly subscription credits expire at the end of each monthly billing cycle. Annual-plan credits are released monthly, and each monthly allocation expires at the end of its applicable monthly cycle. Subscription, trial and promotional credits do not roll over unless an offer expressly says otherwise.
Add-on credits may be purchased by Free or paid users in offered packages or quantities. Studio administrators may instead add a custom USD amount to a closed-loop organization wallet for shared Surion AI use. A wallet is an advance payment for Surion services, not a bank account, deposit, general-purpose stored-value product or transferable currency. Wallet funds cannot be withdrawn, transferred outside the organization or redeemed for cash, except when Fuse Labs approves a refund or applicable law requires one. Purchased credits and eligible wallet funds do not expire merely because a billing period ends and carry forward until used while the account remains in good standing. Surion will ordinarily consume expiring subscription or promotional credits before non-expiring purchased value.
Credits cannot be sold, transferred, redeemed for cash or moved outside the account or organization. Studio credits operate through an organization pool rather than allocations owned by individual members. Authorized Studio administrators may enable or disable member access, set member spending limits and reset member usage counters. A member with a finite cap may request an increase, but approval remains at the administrator’s discretion and does not add credits to the shared pool. These controls are spending caps, not reserved balances or transfers of ownership. Unused member capacity remains in the organization pool, subject to the ordinary expiration of subscription credits.
9. Credit metering, failures and limits
Surion will show the expected or maximum credit cost before an unusually expensive operation where technically practical. Confirmed system failures that end before producing usable output will ordinarily result in automatic restoration of the affected credits. Credits remain consumed when output was successfully delivered but does not match a user’s subjective preference.
You must report a suspected metering error through Support within 30 days. Fuse Labs may investigate logs reasonably necessary to resolve the report and may correct balances affected by technical error, refunds, chargebacks, fraud or abuse.
Request-size, context, concurrency, rate, provider, security and safety limits may apply even when sufficient credits remain. These limits protect service availability and do not create an entitlement to unrestricted automated access or resale.
Purchased credits remain usable after a subscription ends, including through any limited Surion AI access Fuse Labs makes available. However, using Surion for new commercial work still requires a paid commercial licence under the EULA.
10. Refund policy
You may request a refund of an initial monthly or annual subscription within 30 days after first activating that subscription only if no Surion AI credit from that billing period has been used. This initial-purchase policy does not apply to ordinary renewals, except where mandatory law requires a refund.
An unused add-on credit or organization wallet purchase may be submitted for refund within 30 days after purchase. If any value from that purchase has been used, the purchase is final and non-refundable, except where mandatory law provides otherwise. Eligible upgrades follow the same 30-day and no-usage requirements to the extent a separately identifiable upgrade charge can be refunded.
You may also request an appropriate remedy if Surion itself is materially unavailable or not working because of a condition within Fuse Labs’ reasonable control and Fuse Labs cannot restore the affected paid service after a reasonable support opportunity. An outage, limitation, policy action or failure caused by a user-supplied API, model provider, payment provider, internet provider, operating system, third-party integration or other external service does not by itself make a Surion purchase refundable, without limiting rights that cannot lawfully be excluded.
Approved refunds are issued to the original payment method where reasonably possible, ordinarily within 10 business days after approval; financial institutions may require additional processing time. Refunded entitlements and credits may be revoked. Temporary outages do not automatically generate refunds or service credits, but Fuse Labs may provide discretionary compensation.
11. Discontinuation of paid services
Fuse Labs may add, modify or retire Services, integrations, providers and features as Surion evolves. Where reasonably possible, we will provide at least 30 days’ notice before permanently removing a material paid feature.
If Fuse Labs permanently discontinues a prepaid Service before the end of an affected user’s paid term, Fuse Labs will promptly provide an automatic prorated refund or extend access or an equivalent Service through the remainder of the current billing cycle. This does not apply when access ends because of the user’s breach, non-payment, a legal prohibition or a third-party service the user obtained independently.
Surion website hosting is not part of the Services at launch. Any future hosting product will be subject to additional terms, capacity rules and disclosures before it becomes available.
12. Trials, promotions and offers
Fuse Labs does not offer paid-plan free trials at launch; the Free plan provides the available no-cost experience. If trials are introduced later, their duration, included credits, conversion terms and cancellation deadline will be disclosed before enrolment.
Promotions, discounts, coupons and introductory offers may have additional eligibility, redemption and expiration terms. Unless an offer expressly says otherwise, it may be limited to new subscribers and to one redemption per customer, account, organization, payment method or household. Offers may not be combined, transferred, resold or obtained through misrepresentation.
13. Studio organizations
Every Studio organization requires a custom quote from Fuse Labs. Any public Studio amount is a non-binding baseline, not an offer or guaranteed price. The accepted quote, order form or other signed agreement determines the final price, contracted seats, billing period, credit allocation, discounts, services and additional terms. If it conflicts with general website marketing, the accepted organization agreement controls for that Studio purchase.
Studio administrators may invite and remove members, manage seats, control access to the organization credit pool, set member spending limits, review member credit-increase requests and view member-level and organization-level credit usage totals. They are not entitled through Studio administration tools to inspect a member’s private local project files, prompt content or generated output.
A Studio seat is assigned to one person. Clerk membership changes do not automatically amend the contracted seat count, price or credit allocation. The organization must request and agree to contract changes through Fuse Labs Support. When a member is removed, that member’s organization access may terminate, but the organization’s payment obligation continues according to its accepted agreement. A member who wants to preserve an eligible personal account should contact Fuse Labs Support before or promptly after removal. Studio members do not own a specific allocation from the organization pool.
Surion does not determine ownership between an employer, client, contractor and individual creator. Ownership of their projects and deliverables is determined by their separate employment, services, assignment or client agreement and applicable law.
14. Acceptable use
You must not, and must not help another person to:
- use the Services for unlawful, fraudulent, abusive, harassing, exploitative, infringing or deceptive activity;
- share or resell accounts, seats or credits, bypass payment, falsify eligibility, manipulate metering, forge purchases or abuse refunds and chargebacks;
- scrape, crawl or automate access except through an interface Fuse Labs expressly permits;
- probe, scan, attack, overload, disrupt or circumvent the website, accounts, Services, security measures, rate limits or access controls;
- submit malware, phishing content, credential theft, spam, automated forms, false vulnerability reports or material designed to compromise another system;
- access or attempt to access another account, organization, device, repository, server, website or data without authorization;
- use download, contact or support forms for advertising, harassment, impersonation or automated submissions;
- infringe privacy, confidentiality, publicity, intellectual-property or other rights, or process content you have no right to use;
- resell or commercially expose Surion AI, extract non-public models or system components, or use the Services to create a competing model or service where prohibited; or
- remove notices, impersonate Fuse Labs or misrepresent your relationship with Surion.
15. Enforcement and account termination
Fuse Labs may block an IP address, account, organization, payment method or request reasonably associated with attacks, fraud, piracy, unlawful use, sanctions, provider restrictions or a material breach. Where an issue can reasonably be cured, we will ordinarily provide notice and an opportunity to correct it. Immediate suspension or termination may occur for serious security abuse, piracy, malicious conduct, fraudulent payment or another material breach that cannot reasonably be cured.
You may cancel a subscription through your Surion Account and may request account deletion through Support. Cancelling renewal does not automatically delete the account. If you voluntarily delete an account, remaining credits and access may be forfeited after a clear warning, except where mandatory law requires otherwise.
If Fuse Labs closes an account without user wrongdoing and cannot restore or transfer the Service, eligible unused purchased credits will be refunded. Provisions that by their nature should survive, including payment obligations already incurred, ownership, restrictions, disclaimers, liability, indemnity and disputes, remain effective after termination.
16. Your projects and output
As between you and Fuse Labs, you retain ownership of your original projects, prompts and content. Fuse Labs assigns to you any rights it may have in generated output, if any, subject to third-party rights, separate licences and the EULA.
You grant Fuse Labs and its providers a limited right to process content only as necessary to deliver, secure and support the feature you choose. You are responsible for having the rights and permissions required to submit that content and for reviewing, testing and lawfully using every website, deployment and output.
Generated output may be inaccurate, insecure, incomplete, non-unique or similar to existing material. It is not guaranteed to be original, protectable, accessible, production-ready or free from third-party claims. Keep appropriate backups; the Services are not a backup or archival system.
17. Third-party services
Surion may interact with model providers, payment processors, authentication providers, repositories, FTP servers, local models, packages and other third-party services. Their products, availability, content policies, charges and conduct are governed by their own terms. Links to third-party websites are provided for convenience and do not constitute endorsement or control.
When you supply an API key or connect a service, Surion communicates with that provider at your request. You are responsible for credentials, permissions, provider charges and compliance with its terms. Fuse Labs is not responsible for a third party’s independent systems or unlawful conduct, but remains responsible for its own acts and non-waivable obligations.
18. Availability, support and electronic communications
Unless a separate signed service-level agreement states otherwise, the Services have no guaranteed uptime, response time or resolution time. Maintenance, security incidents, provider outages, network conditions, government action, labour disruption, natural events and other circumstances outside reasonable control may interrupt access.
Fuse Labs may send mandatory account, billing, renewal, security, credit, legal and service communications even when you opt out of marketing. Marketing messages require the consent applicable to the recipient and will include an unsubscribe method. You are responsible for maintaining a current email address and reasonable mail-filter settings.
Operational and legal notices may be sent to the latest email associated with a download, account or purchase, displayed through Surion or posted prominently on the website. Electronic notices and records satisfy written-notice requirements to the extent permitted by law.
19. Disclaimer of warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES, SURION AI, WEBSITE, DOWNLOADS, OUTPUTS AND SUPPORT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” FUSE LABS DISCLAIMS EXPRESS, IMPLIED AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, SECURITY, AVAILABILITY AND QUIET ENJOYMENT.
FUSE LABS DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE OR SUITABLE FOR A PARTICULAR PROJECT; THAT DEFECTS WILL ALWAYS BE CORRECTED; OR THAT OUTPUTS WILL BE SECURE, ACCESSIBLE, LAWFUL, ORIGINAL OR PRODUCTION-READY. Some jurisdictions do not permit certain exclusions, so these disclaimers apply only to the extent allowed and do not remove non-waivable consumer rights.
20. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FUSE LABS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, CONTENT OR OPPORTUNITY, ARISING FROM OR RELATED TO THE SERVICES, EVEN IF ADVISED THAT SUCH LOSS WAS POSSIBLE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FUSE LABS’ TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATED TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO FUSE LABS DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM AND (B) CAD $100.
These limitations do not apply to fraud, wilful misconduct, gross negligence where it cannot lawfully be limited, death or personal injury caused by negligence, or any liability, statutory warranty, consumer remedy or right that applicable law does not permit the parties to exclude or limit.
21. Commercial indemnity
To the extent permitted by law, if you use a Service for business or commercial purposes, you will defend, indemnify and hold harmless Fuse Labs from third-party claims, damages, judgments, penalties and reasonable legal costs arising from your content, websites, deployments, unlawful conduct, infringement, misuse of a Service or material breach of these Terms. This does not apply to the extent a claim was caused by Fuse Labs’ own breach, negligence or wilful misconduct.
Fuse Labs will provide reasonable notice of a covered claim and allow you to control the defence, provided a settlement may not admit wrongdoing by, impose obligations on or fail to fully release Fuse Labs without our written consent. Fuse Labs may participate with counsel at its own expense.
22. Governing law and disputes
These Terms are governed by the laws of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-law rules. Subject to any non-waivable right to bring a claim elsewhere, the courts located in Toronto, Ontario have exclusive jurisdiction, and each party submits to those courts.
Before filing a claim, you and Fuse Labs agree to make a good-faith effort for 30 days to resolve the dispute through Support. This does not prevent urgent injunctive relief, extend a limitation period or limit a consumer’s right to contact a regulator or use a legally available process. These Terms do not require private arbitration and do not contractually waive participation in a class proceeding.
23. Changes to these Terms
Fuse Labs may update these Terms for new features, security, legal requirements or business changes. Material changes will be communicated through the website, Surion, account email or another reasonable method before they take effect and will apply prospectively unless law or urgent security needs require otherwise.
Continuing to use a Service after updated Terms take effect constitutes acceptance. If you do not accept a material change, stop using the Services and cancel any renewal. Changes will not retroactively remove valid rights in completed deliverables or non-expiring purchased credits without a legally valid reason.
24. General terms
Neither party is liable for delay caused by events outside its reasonable control, except that this does not excuse payment obligations already incurred. You may not assign an account, subscription or these Terms without Fuse Labs’ consent. Fuse Labs may assign these Terms as part of a merger, financing, reorganization, asset transfer or sale of all or part of the business, provided the successor remains responsible for applicable obligations.
If a provision is unenforceable, it will be enforced to the maximum lawful extent and the remainder will continue in effect. Failure to enforce a provision is not a waiver. Headings are for convenience only. There are no third-party beneficiaries unless expressly stated.
These Terms, the EULA, Privacy Policy, final purchase summary and any expressly incorporated addendum form the entire agreement concerning the Services. A signed addendum controls, followed by the final purchase summary for its transaction, the EULA for software-licensing matters, these Terms for the Services, and the Privacy Policy for personal-information handling.
Fuse Labs may keep an electronic record or version identifier of the terms presented with a transaction where supported by its account and payment systems. The English version controls any translation except where local law requires otherwise.
