End-User License Agreement

The binding terms that govern downloading, installing and using Surion for macOS.

1. Agreement and acceptance

This End-User License Agreement (the “Agreement”) is a binding contract between you and Rui Miguel Reis Carvalho, operating as Fuse Labs, a sole proprietorship in Ontario, Canada (“Fuse Labs,” “we,” “us” or “our”). It governs the Surion application for macOS, its updates, documentation and related software features (collectively, “Surion”).

By downloading, installing, accessing or using Surion, or by creating an account or purchasing a plan, you confirm that you have read, understood and agreed to this Agreement, the Terms and Conditions and the Privacy Policy. If you do not agree, do not download, install, access or use Surion. If Surion is already installed, stop using it and delete all copies in your possession or control.

If you use Surion for an organization, you represent that you have authority to bind that organization. In that case, “you” includes both you and the organization. Surion is distributed directly by Fuse Labs and is not currently licensed through the Mac App Store.

2. Eligibility and accounts

You must be at least 18 years old and have the legal capacity to enter into this Agreement. You may not use Surion if applicable law prohibits you from receiving or using it.

Free users may use Surion without an account, but must provide a valid email address or be signed in to download it. Paid features require an account. You must provide accurate information, keep credentials secure and promptly notify Fuse Labs through Support if you suspect unauthorized access. You are responsible for activity under your account except to the extent caused by Fuse Labs.

3. Ownership and limited licence

Surion is licensed, not sold. Subject to this Agreement and your applicable plan, Fuse Labs grants you a limited, revocable, non-exclusive, non-transferable and non-sublicensable licence to install and use Surion on compatible Apple-branded hardware that you own or control.

Fuse Labs and its licensors retain all right, title and interest in Surion, including its source code, design, interface, trademarks, documentation, services and all related intellectual-property rights. No rights are granted except those expressly stated in this Agreement.

4. Free and paid use

The Free plan is licensed only for personal, non-commercial use. A paid Plus, Pro or Studio plan is required to use Surion to create, edit, maintain or deliver websites for a business, client, employer, revenue-generating activity or any other commercial purpose.

Plus permits commercial website work by the licensed individual. Pro permits commercial use by freelancers and small teams, provided every person using Surion has their own paid seat. Studio permits commercial use by businesses and teams and adds team-management capabilities. Pro does not include the Studio dashboard for centrally managing members and credits.

Studio is licensed only after Fuse Labs issues and the organization accepts a custom quote, order form or other written agreement. That agreement determines the organization’s contracted seats, credit allocation, price, billing period, discounts and any additional services. A public baseline or example does not replace the accepted organization agreement.

Commercial-use rights validly obtained while a paid licence is active continue for websites and deliverables created during that paid period. After a paid plan ends, you may continue using those completed deliverables, but you must reactivate a paid plan before using Surion for new commercial work or material commercial edits.

5. Seats, devices and concurrent use

Each seat is assigned to one natural person and may not be shared, pooled or rotated to avoid purchasing the required number of seats. One licensed user may activate Surion on up to two Macs for convenience, but may use Surion on only one Mac at a time.

You may move a seat between devices you own or control, subject to reasonable activation limits intended to prevent abuse. Pro and Studio organizations must purchase a seat for every person who accesses or uses paid Surion capabilities. Contractors require their own seat unless a separate written agreement expressly provides otherwise.

6. Subscriptions, renewal and payment

Paid plans renew automatically for the selected monthly or annual term until cancelled. Prices, billing frequency, included features, credit allocations and applicable taxes are shown before purchase. You authorize Stripe and Fuse Labs to charge your selected payment method at each renewal. Taxes imposed by law may be added.

You may cancel renewal at any time through the available account controls or by contacting Support. Cancellation takes effect at the end of the current paid term, and access continues until then unless this Agreement is terminated for cause. Except where law requires otherwise or this Agreement expressly states otherwise, partial billing periods are not prorated.

If payment fails or becomes overdue, Fuse Labs may retry payment and suspend paid features, Surion AI and related online services after reasonable notice. An ordinary missed payment does not by itself terminate your underlying Free licence or require deletion of Surion. Fuse Labs may change future prices or plan features with reasonable advance notice; changes apply no earlier than the next renewal after the notice period.

7. Surion AI credits

Surion AI credits measure access to Surion AI features; they are not currency, stored value, property or a promise of a fixed number of prompts, tokens, outputs or computing seconds. Usage varies with the model, context, files, requested operation and system resources. Current allocations and usage information are displayed in the product or on the Surion website.

Credits included with a monthly subscription expire at the end of that billing cycle. Credits included with an annual plan are released monthly and each monthly allocation expires at the end of its applicable monthly cycle. Unused subscription, trial or promotional credits do not roll over unless an offer expressly says otherwise.

Purchased add-on credits may be bought in preset packages or other offered quantities. Studio administrators may add a custom USD amount to a closed-loop organization wallet for shared Surion AI use. The wallet is an advance payment for Surion services, not a bank account, deposit, general-purpose stored-value product or transferable currency. Purchased value does not expire merely because a billing cycle ends and carries forward until used, while the account remains in good standing and subject to applicable law. To protect purchased value, Surion will ordinarily consume expiring subscription or promotional credits first. Credits and wallet funds cannot be sold, transferred outside the organization or redeemed for cash, except when Fuse Labs approves a refund or applicable law requires one. Authorized Studio administrators may enable or disable member access and set member spending limits against the shared organization pool. A member may request an increase to a finite spending limit, but approval remains at the administrator’s discretion and does not increase the shared pool. A spending limit does not transfer ownership or reserve value for that member, and unused capacity remains in the shared pool.

Fuse Labs may correct credit balances affected by refunds, chargebacks, fraud, technical errors or abuse. We will not intentionally remove valid purchased credits without cause. Reasonable usage, request-size, concurrency and safety limits may apply independently of a credit balance to protect Surion, its users and its providers.

8. Refunds

You may request a refund within 30 days after an initial paid-plan purchase only if no Surion AI credit from that billing period has been used. An unused add-on credit or organization wallet purchase may also be submitted for refund within 30 days. If any value from that purchase has been used, the purchase is final and non-refundable. Renewals are refundable only where required by law or where Fuse Labs expressly approves the request.

You may request an appropriate remedy if Surion itself is materially unavailable or not working because of a condition within Fuse Labs’ reasonable control and Fuse Labs cannot restore the affected paid service after a reasonable support opportunity. A failure or restriction caused by a user-supplied API, model provider, operating system, internet provider or other independent third-party service does not by itself make a purchase refundable, except where mandatory law provides otherwise.

Approved refunds are returned to the original payment method where reasonably possible. Any licence, feature or credit associated with a refunded amount may be revoked. Nothing in this section limits a cancellation, refund, reversal, warranty or other right that cannot lawfully be excluded.

9. Updates, compatibility and beta features

Surion may download or install security, compatibility, feature and maintenance updates automatically. Some updates may be required to continue using online features. Features may change as Surion evolves, but Fuse Labs will not use an update to deliberately remove a core paid entitlement during a prepaid term without providing an appropriate remedy where required by law.

Surion supports macOS 26 and later and requires an Apple silicon Mac with at least 8 GB of RAM. Local-model capability and output quality depend substantially on hardware, available memory and the selected model. Third-party APIs and Surion AI may work on minimum-specification hardware because their processing is performed online. Future operating-system, model or provider changes may affect compatibility.

Alpha, beta, preview, experimental or early-access features may be incomplete, changed or withdrawn, and may contain defects. They are provided for evaluation without a production-availability commitment. Do not rely on them for critical work without appropriate backups and verification.

10. Prohibited conduct

You must not, and must not help another person to:

  • copy, redistribute, publish, rent, lease, sell, sublicense or commercially host Surion, except for a right expressly granted by this Agreement;
  • share accounts or seats, exceed device or concurrency limits, falsify eligibility, manipulate metering, manufacture credits or evade payment;
  • circumvent, disable, defeat, tamper with or interfere with activation, licensing, access controls, technological protection measures, security controls or usage restrictions;
  • reverse engineer, decompile, disassemble, decrypt, extract, translate or attempt to discover Surion source code, models, prompts, algorithms, private APIs or non-public components, except only to the limited extent such a restriction is prohibited by mandatory law;
  • remove, hide or alter copyright, trademark, attribution or proprietary notices;
  • use Surion to create or distribute malware, ransomware, credential theft, phishing, deceptive impersonation, unauthorized surveillance, spam, exploits or instructions designed to compromise systems or evade safeguards;
  • access accounts, devices, networks, repositories, servers, websites or data without authorization, or test their security without the owner’s express permission;
  • infringe, misappropriate or violate intellectual-property, privacy, publicity, confidentiality, contractual or other rights;
  • upload or process content you have no right to use, or use Surion to facilitate unlawful, fraudulent, abusive, harassing, hateful or exploitative activity;
  • scrape, overload, disrupt, probe or attack Surion or its providers, run unreasonable automated requests, resell Surion AI access, or use outputs or service responses to build a competing model or service where prohibited by applicable provider terms; or
  • misrepresent generated material as verified, professional or human-authored where that representation would be deceptive or unlawful.

11. Anti-piracy and licence verification

Fuse Labs may use proportionate technical measures to activate licences, verify subscription and seat status, enforce device and concurrency limits, prevent fraud and investigate credible evidence of piracy or abuse. As described in the Privacy Policy, verification may use licence and subscription status, a machine identifier, macOS version, Surion version and basic machine specifications. Fuse Labs will not use licence verification as permission to inspect unrelated personal files.

Pirated keys, modified builds, unauthorized copies, forged receipts, chargeback fraud, credential trafficking and circumvention of licence controls are material breaches. Fuse Labs may invalidate affected licences and credits, suspend or terminate access, preserve relevant evidence, seek injunctive relief, recover losses and enforcement costs where permitted, and refer suspected criminal activity to appropriate authorities.

Good-faith security research does not excuse unauthorized access or circumvention. Researchers should report vulnerabilities privately through Support and must not exploit, disclose or retain data beyond what is reasonably necessary to demonstrate the issue.

12. Your projects, content and outputs

As between you and Fuse Labs, you retain ownership of your original project files, prompts and other content, and Fuse Labs assigns to you any rights it may have in Surion-generated output, if any. This does not transfer Surion itself, Fuse Labs materials, third-party materials, open-source components, fonts, models, templates or other content governed by separate rights.

You grant Fuse Labs and its service providers a limited, worldwide right to process content only as necessary to provide, secure and support the features you choose. Surion AI may send prompts, selected files, code, images, documents, screenshots, project context and generated output to online systems for processing as described in the Privacy Policy.

You are responsible for your content, instructions, websites, deployments and outputs. You must review and test generated code and designs before use or publication. Outputs may be inaccurate, insecure, incomplete, non-unique or similar to third-party material. Fuse Labs does not guarantee that output is protectable, original, error-free, accessible, lawful or free of third-party claims.

13. Local models, user-supplied APIs and integrations

Local models, open-source packages, fonts, templates and other third-party components may be subject to separate licences and usage restrictions. You are responsible for selecting components you may lawfully use and for complying with their terms, including attribution and redistribution requirements.

When you connect your own API key, repository, FTP server or other service, you authorize Surion to communicate directly with that provider at your request. Your relationship with that provider is governed by its terms. You are responsible for its charges, credentials, permissions and content rules. Fuse Labs does not intercept user-supplied API keys, which are stored in macOS Keychain, and is not the seller or intermediary for services you obtain directly from those providers.

Third-party services may change, suspend or discontinue their APIs. Fuse Labs is not responsible for a third party’s systems or unlawful conduct, but this does not excuse Fuse Labs from responsibility for its own acts or obligations that cannot be excluded by law.

14. Surion AI

Surion AI is Fuse Labs’ integrated online generation and editing service. It may use specialized technology supplied by third-party model providers behind the scenes. Provider availability, safety rules, context limits and processing characteristics may affect a request. Fuse Labs may route, refuse or limit requests when reasonably necessary for safety, legal compliance, quality, capacity or provider requirements.

Surion AI is a creative and development tool, not professional legal, medical, financial, cybersecurity or other regulated advice. You must not rely on it as the sole basis for decisions that could materially affect a person’s rights, safety, health, finances or access to essential services.

15. Data, privacy and confidentiality

The Surion Privacy Policy explains what Fuse Labs collects, how online processing works and which providers receive information. By using Surion, you acknowledge that online features require data transmissions. Local-only workflows remain on your Mac except for communications you separately initiate.

Fuse Labs does not assume a fiduciary duty or a general nondisclosure obligation merely because you use Surion. Any separate confidentiality, data-processing or enterprise commitment must be in writing and signed or expressly accepted by Fuse Labs. Fuse Labs will nevertheless handle personal information according to the Privacy Policy and applicable law.

You are responsible for maintaining backups. Surion is not a backup, archive or version-control service. Before applying generated edits, changing integrations, installing updates or deploying a website, keep recoverable copies appropriate to the importance of your work.

16. Support and service availability

Support is provided through the Fuse Labs Support page. Support priority means priority in the support queue; it is not a guaranteed response or resolution time. Studio receives the highest queue priority, followed by Pro, Plus and Free. Unless a separate signed service-level agreement states otherwise, Surion has no uptime, availability, response-time or resolution-time guarantee.

Maintenance, incidents, provider outages, internet conditions, capacity, security events and causes beyond reasonable control may interrupt online features. Fuse Labs may temporarily limit or suspend a feature to protect users, investigate abuse, comply with law or maintain the service.

17. Suspension and termination

You may terminate this Agreement at any time by stopping use, cancelling paid renewal and deleting Surion. Account-deletion requests may be made through Support. Cancellation of a subscription alone does not delete your account.

Fuse Labs may suspend affected paid or online features for non-payment, security risk, provider restrictions or suspected abuse. Where the issue can reasonably be cured, Fuse Labs will ordinarily provide notice and an opportunity to cure. Fuse Labs may terminate immediately for piracy, fraudulent payment, malicious activity, serious security abuse, unlawful use, repeated infringement or another material breach that cannot reasonably be cured.

On termination for breach, you must stop the prohibited use and, if the Agreement is terminated in full, delete Surion and unauthorized copies. Sections concerning ownership, restrictions, credits and payments already due, user responsibility, disclaimers, liability, indemnity, disputes and other provisions that by nature should survive will remain effective. A missed subscription payment ordinarily ends paid entitlements but does not, by itself, revoke the Free personal-use licence.

18. Disclaimer of warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SURION, SURION AI, OUTPUTS AND SUPPORT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” FUSE LABS DISCLAIMS ALL EXPRESS, IMPLIED AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, SECURITY, AVAILABILITY AND QUIET ENJOYMENT.

FUSE LABS DOES NOT WARRANT THAT SURION WILL BE UNINTERRUPTED OR ERROR-FREE; THAT DEFECTS WILL BE CORRECTED; THAT OUTPUT WILL MEET YOUR REQUIREMENTS; OR THAT GENERATED CODE, DEPENDENCIES, DESIGNS OR DEPLOYMENTS WILL BE SECURE, ACCESSIBLE, LAWFUL OR SUITABLE FOR PRODUCTION. YOU ARE RESPONSIBLE FOR REVIEW, TESTING, BACKUPS AND PROFESSIONAL ADVICE WHERE APPROPRIATE.

Some jurisdictions do not permit certain exclusions. In those jurisdictions, these disclaimers apply only to the extent permitted, and all non-waivable consumer warranties and remedies remain available.

19. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FUSE LABS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, CONTENT OR OPPORTUNITY, ARISING FROM OR RELATED TO SURION, EVEN IF ADVISED THAT SUCH LOSS WAS POSSIBLE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FUSE LABS’ TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATED TO SURION OR THIS AGREEMENT WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO FUSE LABS FOR SURION DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM AND (B) CAD $100.

These limitations do not apply to fraud, wilful misconduct, gross negligence where it cannot lawfully be limited, death or personal injury caused by negligence, or any liability, statutory warranty, consumer remedy or other right that applicable law does not permit the parties to exclude or limit.

20. Indemnity

To the extent permitted by law, if you use Surion for business or commercial purposes, you will defend, indemnify and hold harmless Fuse Labs from third-party claims, damages, judgments, penalties and reasonable legal costs arising from your content, websites, deployments, unlawful conduct, infringement of third-party rights, misuse of Surion or material breach of this Agreement. This obligation does not apply to the extent a claim was caused by Fuse Labs’ own breach, negligence or wilful misconduct.

Fuse Labs will give reasonable notice of a covered claim and permit you to control the defence, provided you may not settle a claim in a way that admits wrongdoing by, imposes obligations on or fails to fully release Fuse Labs without our written consent. Fuse Labs may participate with counsel at its own expense.

21. Governing law and disputes

This Agreement is governed by the laws of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-law rules. Subject to any non-waivable right to bring a claim elsewhere, the courts located in Toronto, Ontario have exclusive jurisdiction, and each party submits to those courts.

Before filing a claim, you and Fuse Labs agree to make a good-faith effort for 30 days to resolve the dispute through Support. This informal process does not prevent either party from seeking urgent injunctive relief, does not extend a limitation period, and does not limit a consumer’s right to contact a regulator or use a legally available complaint or dispute process. This Agreement does not require private arbitration and does not waive participation in a class proceeding where such a waiver would otherwise be available.

22. Changes to this Agreement

Fuse Labs may update this Agreement for new features, security, legal requirements or business changes. Material changes will be communicated through the website, Surion, account email or another reasonable method before they take effect. Unless a change is required sooner by law or for urgent security reasons, material changes will apply prospectively.

Continuing to use Surion after an updated Agreement takes effect constitutes acceptance. If you do not accept a material change, you must stop using Surion and may cancel your subscription. Changes will not retroactively take away rights in completed deliverables or non-expiring purchased credits without a legally valid reason.

23. General terms

You may not assign or transfer this Agreement, an account or a licence without Fuse Labs’ prior written consent. Fuse Labs may assign this Agreement as part of a merger, reorganization, financing, asset transfer or sale of all or part of its business, provided the successor remains responsible for applicable obligations.

If any provision is held unenforceable, it will be enforced to the maximum lawful extent and the remaining provisions will continue in effect. A failure to enforce a provision is not a waiver. Headings are for convenience only. “Including” means “including without limitation.”

This Agreement, the Terms and Conditions, the Privacy Policy, the plan details presented at purchase and any expressly incorporated written addendum form the entire agreement regarding Surion and replace prior discussions on that subject. If they conflict, a signed addendum controls, then the purchase terms for the specific transaction, then this Agreement, then the Terms and Conditions, except that the Privacy Policy controls how personal information is handled.

Nothing in this Agreement limits rights that cannot be waived under applicable consumer, privacy, competition or other law. There are no third-party beneficiaries unless this Agreement expressly says otherwise.

24. Notices and contact

Fuse Labs may send operational or legal notices to the email associated with your download, account or purchase, through Surion, or by posting a prominent notice on the Surion website. Notices to Fuse Labs, account-deletion requests, refund requests, vulnerability reports and legal questions should be submitted through the Fuse Labs Support page or emailed to support@fuselabssoftware.com.
